Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") form a binding agreement between you and STM Group LLC, a New Mexico limited liability company operating the muups service ("muups", "we", "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and authority

The Service is intended for business use only. By using it, you represent that you are at least 18 years old, that you are using the Service on behalf of a business, and that you have the authority to bind that business to these Terms.

3. The Service

muups helps businesses recover overdue invoices by generating and sending payment reminder sequences, detecting incoming payments, and reconciling them against outstanding invoices. We may modify, suspend, or discontinue features of the Service at any time.

4. Your account

You are responsible for the accuracy of the information you provide, for maintaining the security of your account, and for all activity that occurs under it. Notify us promptly of any unauthorized use.

5. Customer communications you authorize

The Service sends payment reminders to your customers on your behalf, from an address associated with you or muups. By using the Service, you represent and warrant that:

• the invoices and debts you upload are valid, accurate, and owed to you;
• you have a lawful basis and the right to contact the recipients about those invoices; and
• your use of the Service complies with all laws applicable to you and to your communications with your customers, including debt-collection, consumer-protection, anti-spam, and data protection laws.

You are solely responsible for the content and consequences of communications sent through the Service on your behalf and for the underlying commercial relationship with your customers.

6. Bank connections

If you connect a bank account through Plaid, you represent that you are authorized to connect that account and to access its data. We use read-only access solely to detect and reconcile payments, as described in our Privacy Policy. We do not initiate transfers or move funds.

7. Acceptable use

You agree not to:

• use the Service for any unlawful, deceptive, or harassing purpose;
• upload data you do not have the right to use;
• attempt to gain unauthorized access to the Service, other accounts, or our systems;
• interfere with or disrupt the integrity or performance of the Service; or
• reverse engineer or resell the Service without our consent.

8. Fees

Some features may be offered free of charge during a beta or promotional period. Pricing for paid plans will be communicated to you before any charges apply, and your continued use after pricing takes effect constitutes acceptance of the applicable fees. Unless stated otherwise, fees are exclusive of taxes.

9. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by us and our licensors and is protected by intellectual property laws. You retain all rights in the data you upload. You grant us a limited license to process that data solely to provide the Service.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted or error-free, and we make no guarantee that any invoice or amount will be recovered.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the greater of the amount you paid us in the twelve months preceding the claim or USD 100.

12. Indemnification

You agree to indemnify and hold harmless STM Group LLC and its affiliates from any claims, damages, or expenses arising out of your use of the Service, your data, your communications with your customers, or your breach of these Terms.

13. Term and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or if we reasonably believe your use poses a risk. Provisions that by their nature should survive termination will survive.

14. Governing law

These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-laws rules. The courts located in New Mexico will have exclusive jurisdiction over any dispute, subject to any mandatory rights you may have under the laws of your place of residence.

15. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
